Welcome to BLK E-Commerce. These Terms of Service ("Terms") govern your access to and use of the BLK E-Commerce website, services, and applications (collectively, the "Services").

Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2. Marketplace and Transactions

2.1 Role of BLK E-Commerce

BLK E-Commerce is an online marketplace that connects buyers with Black-owned businesses (vendors). We are not a party to transactions between users and vendors. We do not control the quality, safety, legality, or availability of products offered by vendors.

2.2 Product Listings

Vendors are responsible for the accuracy of their product listings, including descriptions, images, pricing, and availability. BLK E-Commerce reserves the right to remove any product listing that violates these Terms or our policies.

2.3 Purchases

When you make a purchase through our Services, you agree to pay the specified price for the product, plus any applicable taxes and shipping fees. Payment must be made through our approved payment methods.

Once an order is placed, it constitutes an offer to purchase the product. The vendor may accept or decline this offer. A contract for sale is formed only when the vendor accepts your order.

2.4 Shipping and Delivery

Vendors are responsible for shipping and delivering products to buyers. Delivery times and shipping methods may vary by vendor. Please refer to our Shipping & Returns page for more information.

2.5 Returns and Refunds

Our return and refund policies are outlined on our Shipping & Returns page. These policies may vary by vendor and product category.

3. User Conduct

When using our Services, you agree not to:

  • Violate any applicable law or regulation
  • Infringe upon the rights of others
  • Submit false or misleading information
  • Impersonate any person or entity
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services for any illegal or unauthorized purpose
  • Harass, abuse, or harm another person
  • Send spam or unsolicited messages
  • Use automated methods to access or use the Services without our permission

4. Intellectual Property

4.1 BLK E-Commerce Content

The Services and their contents, including but not limited to text, graphics, images, logos, button icons, software, and audio clips (collectively, "Content"), are owned by or licensed to BLK E-Commerce and are protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our express written permission, except as expressly provided in these Terms.

4.2 User Content

You retain ownership of any content you submit to the Services, including reviews, comments, and feedback ("User Content"). By submitting User Content, you grant BLK E-Commerce a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that you own or control all rights in and to the User Content you submit, and that such User Content does not violate these Terms or any applicable law.

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

IN NO EVENT WILL BLK E-COMMERCE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Indemnification

You agree to indemnify, defend, and hold harmless BLK E-Commerce, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

8. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

9. Changes to Terms

We may revise these Terms from time to time. The updated Terms will be indicated by an updated "Last Updated" date and will be effective immediately upon posting. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

10. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any choice or conflict of law provision or rule.

11. Dispute Resolution

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be exclusively brought in the federal or state courts located in Fulton County, Georgia, and you consent to the personal jurisdiction and venue of such courts.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BLK E-Commerce regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
